01Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and TinyBloc Inc., a corporation incorporated under the laws of Québec, Canada ("TinyBloc", "we", "our", or "us"), governing your access to and use of the TinyBloc platform, website, APIs, and any associated services (collectively, the "Services").

By creating an account, accessing, or using our Services in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease use of the Services.

These Terms apply to all users of the TinyBloc platform, including developers, municipal partners, non-profit organizations, and individual community members.

02Description of Services

TinyBloc provides a software platform designed to support the planning, permitting, financing, and delivery of compact and affordable housing. Our Services include, but are not limited to:

TinyBloc reserves the right to modify, suspend, or discontinue any feature of the Services at any time, with reasonable notice where practicable.

03Eligibility & Account Registration

To use TinyBloc you must be at least 18 years of age and have the legal authority to enter into binding agreements. If you are registering on behalf of an organization, municipality, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify TinyBloc immediately at security@tinybloc.ca of any unauthorized use or suspected breach of your account.

TinyBloc may verify the identity and credentials of users, including municipal employees and licensed professionals, before granting access to certain features of the platform.

04Permitted Use

You may use the Services solely for lawful purposes consistent with these Terms and applicable law. You agree not to:

TinyBloc tools generate analytical outputs to support decision-making. They do not constitute legal, financial, architectural, or engineering advice. Users remain solely responsible for all project decisions and regulatory submissions made using the platform.

05Intellectual Property

All content, software, design templates, algorithms, data compilations, and other materials made available through the Services are the exclusive property of TinyBloc Inc. or its licensors and are protected by applicable Canadian and international intellectual property laws.

Subject to these Terms, TinyBloc grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal housing development or municipal planning activities.

Your Data: You retain ownership of all data, project information, and content you upload to the platform ("User Content"). By uploading User Content, you grant TinyBloc a limited licence to process and store that content solely to provide the Services to you.

06Data & Privacy

TinyBloc collects, uses, and stores personal information in accordance with our Privacy Policy and applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and Québec's Law 25 (Act respecting the protection of personal information in the private sector).

Municipal partners who share data with TinyBloc are responsible for ensuring that any personal information provided is shared in accordance with applicable municipal and provincial data governance obligations.

TinyBloc may use anonymized and aggregated data to improve the platform, conduct research on housing affordability, and publish policy insights. No personally identifiable information will be included in such outputs.

07Fees & Payment

Certain features of the Services are available on a subscription or pay-per-use basis. Current pricing is set out in your service agreement or on the TinyBloc pricing page. All fees are quoted in Canadian dollars (CAD) unless otherwise specified.

Invoices are due within 30 days of issuance. TinyBloc reserves the right to suspend access to paid features for accounts with outstanding balances. Fees paid are non-refundable except as expressly provided in your service agreement or as required by applicable consumer protection law.

TinyBloc may update pricing with a minimum of 60 days' written notice for existing subscribers. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.

08Disclaimers & Limitation of Liability

The Services are provided on an "as is" and "as available" basis. TinyBloc does not warrant that the platform will be uninterrupted, error-free, or that any analytical output will be accurate, complete, or suitable for any specific regulatory, legal, or financial purpose.

Zoning analysis, affordability modelling, and permit-tracking outputs are provided for informational purposes only. Always verify regulatory information with the relevant municipal authority before making development or investment decisions.

To the maximum extent permitted by applicable law, TinyBloc's aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the greater of: (a) the total fees you paid to TinyBloc in the twelve months preceding the claim; or (b) CAD $500.

TinyBloc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business opportunity, even if TinyBloc has been advised of the possibility of such damages.

09Termination

Either party may terminate these Terms and close an account at any time. You may close your account by contacting hello@tinybloc.ca. TinyBloc may suspend or terminate your account immediately if you materially breach these Terms, engage in prohibited conduct, or if required by law.

Upon termination, your right to access the Services will cease. TinyBloc will retain your User Content for a period of 90 days after termination, during which time you may request an export of your data. After this period, your data may be deleted in accordance with our data retention policy.

Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — shall continue to apply after termination.

10Governing Law & Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If no resolution is reached within 30 days, the dispute shall be submitted to binding arbitration in Montréal, Québec, administered in accordance with the arbitration rules of the Chambre de commerce du Montréal métropolitain, unless applicable law requires otherwise.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

11Changes to These Terms

TinyBloc may update these Terms from time to time to reflect changes in our Services, applicable law, or business practices. We will notify you of material changes by email and by posting an updated version on our website with a new effective date.

If you continue to use the Services after the effective date of any updated Terms, you will be deemed to have accepted those changes. If you do not agree with the updated Terms, you must stop using the Services and may close your account.
